# Anthropic founders seek 50.1% voting control ahead of IPO

Anthropic has filed for an IPO on Nasdaq, and the numbers are striking in almost every direction at once.

## The financials

The company generated $4.59 billion in revenue in fiscal 2025, up roughly 1,088% year-over-year. That sounds great until you see the other side of the ledger: $12.65 billion in operating expenses, an $8.06 billion operating loss (up from $2.98 billion the prior year), and a headline net loss of nearly $42 billion.

That last number needs context. About $34 billion of it comes from a non-cash accounting charge for revaluing financing instruments that could convert into shares - not money the company actually burned through operations. Still, Anthropic spent $7.33 billion on compute and infrastructure last year, which is more than its entire revenue. Compute alone accounted for more than half of operating expenses, nearly tripling from $2.5 billion in 2024.

The forward picture looks better. Preliminary Q2 2026 revenue came in above $11.5 billion - more than double all of fiscal 2025 - and adjusted operating income turned positive. On that trajectory, the IPO could value Anthropic above $2 trillion, more than double the $965 billion post-money valuation from its May 2026 funding round (and well above the $1.5 trillion figure seen on secondary markets).

The company also carries $518 billion in future infrastructure commitments, which is the kind of number that makes you read the sentence twice.

## The governance structure

According to The Information, Anthropic is asking shareholders to approve a new share class that would give CEO Dario Amodei and his six co-founders combined voting control of 50.1% on most corporate matters. Each founder currently owns roughly 2% of the company; the new shares carry no additional economic value, only voting power.

The arrangement persists as long as at least three of the seven founders maintain a minimum stake. It resembles Palantir's Class F structure, though having seven co-founders share a single voting bloc is unusual. The founders have also pledged to give away 80% of their wealth.

The filing also notes that continuously releasing new models is essentially required to stay at the frontier - and that only about 6% of AI R&D compute went to safety work in a sampled week. Anthropic released Opus 5.5 ten days after its CEO published an essay about pacing AI development.

Risk disclosures are standard in IPO filings. What's unusual here is the sheer volume and specificity of them. It reads less like boilerplate and more like Anthropic is making sure no investor can later claim they weren't warned.
