# Nscale's NYSE IPO: ByteDance dependency, customer concentration, and a $35bn valuation bet

**[Collections](https://daily.dev/sources/collections)** · 3 min read · 0 upvotes · 0 comments

## Summary

British AI cloud provider Nscale is pursuing a NYSE IPO seeking $3 billion at a $35 billion valuation, but its financials reveal heavy customer concentration risk. ByteDance, through Singapore subsidiary Spring (SG) Pte. Ltd., accounted for nearly 75% of Nscale's 2025 revenue, using Nscale's Norway data center to access Nvidia B200 GPUs while sidestepping US export controls on China. New deals with Microsoft ($43.8B) and Anthropic ($44.6B) would reduce ByteDance's share below 20%, but together represent about 85% of the $103 billion contract backlog, and the Anthropic deal is contingent on financing and cancellable on missed milestones. Net losses grew to $1.02 billion in H1 2025 from $369 million a year prior. Analysts note this concentration problem is sector-wide: CoreWeave gets 67% of revenue from Microsoft, and Applied Digital gets 67% from Oracle and 30% from CoreWeave.

## Content

British AI cloud provider Nscale is pushing toward a New York Stock Exchange listing that would value the company at $35 billion, with plans to raise $3 billion in the offering. Last week it filed IPO paperwork, and this week it secured $3.36 billion in convertible financing to bridge the gap.

## The financing

Hedge fund Third Point led the round, providing $2.36 billion available immediately. Nvidia contributed an additional $1 billion, arriving in mid-November. The notes convert into equity once the IPO closes. Nvidia's involvement is notable given how central its hardware is to Nscale's entire business model.

Nscale was spun out of Australian crypto miner Arkon Energy about two years ago. It's now building large data center campuses in Norway and West Virginia, and claims over $103 billion in total contracted revenue.

## The ByteDance problem

That $103 billion figure sounds impressive until you look at where the actual revenue is coming from right now.

According to Financial Times reporting, ByteDance - operating through its Singapore subsidiary Spring (SG) Pte. Ltd. - accounted for nearly 75% of Nscale's 2025 revenue: $24 million of $33 million total. ByteDance was using Nscale's Norway data center specifically to access Nvidia B200 GPUs that US export controls have made unavailable in China.

Nscale's IPO prospectus doesn't name the customer. The connection to ByteDance and Spring emerged through a $105 million loan agreement with Macquarie Bank that financed 2,304 B200 chips. Macquarie required Nscale to monitor for export-control violations and vet both ByteDance and Spring before the deal closed.

Nscale says new contracts with Anthropic (worth roughly $44.6 billion) and Microsoft (roughly $43.8 billion) will push Spring's share of revenue below 20%. That's the pitch, anyway.

## Customer concentration across the board

The ByteDance situation is a short-term version of a longer-term structural issue: roughly 85% of Nscale's $103 billion in contracts comes from just two customers. The Microsoft compute deal is $43.8 billion. The Anthropic agreement is $44.6 billion - though that one is contingent on financing and cancellable if Nscale misses certain milestones.

This isn't unique to Nscale. A Sona Asset Management analysis cited by the FT found similar patterns across the neocloud sector: CoreWeave gets 67% of its revenue from Microsoft, and Applied Digital gets 67% from Oracle and another 30% from CoreWeave. The whole sector is essentially a leveraged bet on a handful of hyperscalers and AI labs continuing to spend aggressively.

Nscale's financials reflect the growth - and the costs. Revenue jumped to $140.6 million for the first half of 2025, up from $10.4 million in the same period a year earlier. Net losses grew too, from $369 million to $1.02 billion.

## The board and the bet

Nscale's board includes Sheryl Sandberg, Nick Clegg, and Fidji Simo, which gives it a certain credibility in tech circles. Whether that's enough to convince Wall Street that a $35 billion valuation is reasonable for a two-year-old company with concentrated customers, growing losses, and an export-control subplot is a different question.

The IPO will be a real test of how much appetite investors still have for this kind of concentrated AI infrastructure bet - and how much the Anthropic and Microsoft contracts can carry the story once ByteDance is no longer the main character.

## Questions this post answers

### How much of Nscale's revenue came from ByteDance before its IPO?

ByteDance, operating through its Singapore subsidiary Spring (SG) Pte. Ltd., accounted for nearly 75% of Nscale's 2025 revenue, representing $24 million of $33 million total. The arrangement let ByteDance access Nvidia B200 GPUs through Nscale's Norway data center, a route that sidesteps US export controls blocking direct shipment of those chips to China.

### Why do neocloud companies like Nscale and CoreWeave rely so heavily on one customer?

Customer concentration is common across the neocloud sector because these companies are essentially single-customer infrastructure providers still building toward diversification. CoreWeave gets 67% of its revenue from Microsoft, while Applied Digital gets 67% from Oracle and another 30% from CoreWeave, according to a Sona Asset Management analysis.

### What is Nscale's valuation and fundraising target in its NYSE IPO?

Nscale is seeking to raise $3 billion at a $35 billion valuation on the NYSE. Revenue jumped from $10.4 million in H1 2024 to $140.6 million in H1 2025, and the company holds $103 billion in signed contracts, though net losses also grew to $1.02 billion in H1 2025 from $369 million a year earlier.
