Delivery Hero's boards unanimously back the deal, and largest shareholder Prosus has irrevocably committed its shares, giving Uber roughly 53% economic interest. To preempt regulatory concerns, Delivery Hero will separately sell its operations in 14 overlapping markets to SSW Partners for $1.6bn — a deal financed largely by Uber itself. The combined platform would span 99 markets with $236bn in gross bookings. Regulatory approval from European and Asian authorities remains the key open question, with the vendor-financing structure and adequacy of the carve-out likely to face scrutiny.
